Welcome to Briefer. These Terms of Service ("Terms") govern your access to and use of the Briefer website, platform, and services (collectively, the "Service") provided by Briefer Inc. ("Briefer," "we," "us," or "our"). Please read these Terms carefully. By accessing or using our Service, you agree to be bound by these Terms and our Privacy Policy.

1. Description of the Service

Briefer provides a platform that allows users to create, schedule, and receive automated intelligence reports ("Generated Content" or "Feeds") using AI research agents. The Service can generate Feeds based on user-submitted prompts ("User Queries"). Feeds can be designated as Private Feeds (for personal use), Public Feeds (discoverable by other users), or may be offered as Premium Feeds (powered by third-party data sources).

You acknowledge that the Service is powered by artificial intelligence and is experimental in nature. Generated Content may contain inaccuracies, omissions, or errors. You are solely responsible for verifying the accuracy and appropriateness of any Generated Content before relying on it for any purpose.

2. User Accounts and Subscriptions

You must create an account to access most features of the Service. You are responsible for all activities that occur under your account and for keeping your password confidential.

The Service may be provided under various plans, including free tiers, paid subscriptions, or prepaid credit packs.

  • Subscriptions: Fees are billed in advance on a recurring basis (e.g., monthly or annually). Subscriptions will automatically renew unless canceled.
  • Usage Limits: Paid plans may include specific limits on the number and cadence of reports you can generate.
  • Payments: All payments are processed by a third-party payment processor (e.g., Stripe). All fees are non-refundable except as required by law.

3. Content and Intellectual Property Rights

For the purposes of these Terms, "Content" refers to both User Queries and Generated Content.

  • Your User Queries: You retain all ownership rights to the User Queries you submit to the Service.
  • Generated Content from Private Feeds: You own the Generated Content produced from your Private Feeds. You grant us a limited, worldwide license to use, store, process, and deliver this content to you as part of providing the Service.
  • Generated Content from Public Feeds: By designating a Feed as "Public," you grant Briefer a perpetual, worldwide, non-exclusive, royalty-free license to display, reproduce, distribute, and create derivative works from the associated User Query and Generated Content. This allows us to make the feed discoverable and accessible to other users.
  • The Service: We retain all rights, title, and interest in and to the Service itself, including our branding, code, and user interface.

4. Creator Program and Revenue Sharing

Briefer may offer a program that allows eligible creators of popular Public Feeds to earn a share of revenue ("Creator Program"). Eligibility, payment terms, and conditions for the Creator Program will be governed by a separate Creator Agreement.

5. Premium Feeds and Third-Party Data

Certain Feeds may be designated as "Premium" and are powered by proprietary data streams from third-party data partners. Your access to and use of Premium Feeds may be subject to additional restrictions and terms imposed by our data partners, which will be made available to you.

6. Acceptable Use Policy

You agree not to use the Service for any unlawful purpose or to generate content that is illegal, harmful, defamatory, or infringing on the rights of others. You are responsible for the User Queries you submit and must not instruct the Service to:

  • Violate any applicable laws or regulations.
  • Infringe on intellectual property rights, privacy, or other rights.
  • Generate or spread misinformation, hate speech, or malicious content.
  • Attempt to gain unauthorized access to our systems or probe their security.

We reserve the right to suspend or terminate accounts that violate this policy.

7. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, RELIABILITY, OR TIMELINESS OF ANY GENERATED CONTENT.

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL BRIEFER BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, OR ANY DECISIONS MADE BASED ON THE GENERATED CONTENT.

8. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last Updated" date, sending an email, or through an in-app notification. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
